WORLDWIDE AGREEMENT WITH

King of Prussia, PA, August 17, 1995 -- PTS Learning Systems announces the signing of an exclusive worldwide agreement with Lotus Development Corporation to design and produce all Lotus SmartSuite end user courseware.

Following an extensive competitive review, Lotus has named PTS as its exclusive development and marketing partner in providing Lotus end user customers with standard and customizable training courseware for the SmartSuite products. PTS was selected because Lotus wanted a partner who would provide its customers with customizable training materials that accurately represented Lotus products. Additionally, the Lotus selection process required PTS Learning Systems to satisfy several rigorous requirements with regard to timely development schedules, quality control, and order fulfillment.

"Lotus was searching for a business partner with vision - a company that understands products that add value to the training marketplace," explained Michael Levinson, CEO and Co-Founder of PTS. "Lotus was excited that we already have a proven customizable courseware product and an established client base. This, in conjunction with our vision and SmartSuite knowledge will ensure the success of this venture."

In its worldwide endorsement of PTS training materials, Lotus will market the SmartSuite courseware through various channels, including the Lotus Selects catalog distributed to all Lotus clients, and through Lotus Authorized Education Centers (LAEC) worldwide. Lotus customers will have the opportunity to purchase the official standard SmartSuite courseware on disk or as printed manuals. Customers will be given the option to upgrade to customized courseware with PTS's exclusive customization tool called CustomDOC. In addition to Lotus' marketing efforts, PTS will market the SmartSuite courseware to its own customer database.

According to Jim Krzywicki, Senior Director of Worldwide Education for Lotus, "Lotus has over 200 LAECs in operation that will now be able to receive customizable courseware tailored to meet the unique needs of each customer. PTS has developed courseware for Lotus products for years and we anticipate that this cooperative agreement will not only enable Lotus to expand easily into new markets, but will also increase demand for PTS's courseware."

PTS Learning Systems is headquartered in King of Prussia, PA, with additional facilities located in New York City and at the AT&T Technical Education Center in Piscataway, NJ. PTS's primary services include instructor-led and computer-delivered training materials, planning and management of corporate training programs, sales and field force automation, and training and implementation of technical products, such as Lotus Notes, Pathworks, Novell Netware, Visual Basic, and Access.
